UCI EMERITI BYLAWS

Article I - Name

This non-profit organization shall be known as University of California Irvine Emeriti Association

Article II - Purposes

The purposes shall be:

1. to help the members to carry on their scholarly endeavors;

2. to assist members to make the transition from an active academic schedule to one of teaching, research, writing, consultation, and other activities that enable them to continue their contributions to society;

3. to provide an opportunity for members to maintain professional contact with their colleagues in their own and other disciplines locally and elsewhere;

4. to expedite the general welfare of each Emerita/us and of her or his spouse or surviving widower or widow;

5. to sponsor social and educational events for the benefit of the membership;

6. to support the University in its goals for community enlightenment and societal advancement;

7. to perform such other acts as may be necessary or expedient for the administration of the organization's affairs and the attainment of its goals.

Article III - Membership

Section 1: Membership is open to all University of California Academic Senate Member retirees holding Emerita/us titles and to their spouses. This includes surviving spouses of deceased emeritae/i. Membership is automatically established when Emerita/us status is conferred; but it may be canceled upon written request of the person involved. Membership may be extended to other retired faculty members by action of the Executive Committee on recommendation of the Membership Committee.

Section 2: Honorary members shall be those who have attained age 85. Such members shall be exempt from any dues that may be established. When a married member of the organization becomes 85 and thus is an honorary member, her or his spouse shall also become an honorary member without regard to the spouse's age, and at a member's death, after becoming an honorary member, the spouse shall continue as an honorary member.

Section 3: A member or former member shall not lose eligibility because of a change in marital status.

Article IV - Financial Contributions

Section 1: Financial contributions in support of the organization and its activities shall be on a voluntary basis.

Section 2: The academic year (July 1 through the following June 30) shall constitute the fiscal year.

Article V - Officers

Section 1: The officers of the organization shall be President, Vice President (President-Elect), Recording Secretary, Corresponding Secretary, and Treasurer.

Section 2: The officers shall be elected by secret ballot if there is more than one nominee for a specific office; otherwise a voice vote shall be in order.

Section 3: The officers shall be elected for one-year terms, shall be eligible for re-election, but shall not serve for more than two consecutive terms. The Vice President is expected to be elected to the position of President when that office is vacated.

Article VI - Duties of Officers

Section 1: The President shall preside at meetings, shall exercise general supervision over the affairs of the organization, shall act as Chair of the Executive Committee, and shall serve as ex-officio member of all standing committees. The President or a designated representative shall also serve as the UCI Emeritus/Emerita of any academic senate committee to which emeritae/i are invited to participate. The chair shall serve as the UCI representative to the Council of the University of California Emeriti Association (CUCEA).

Section 2: The Vice President shall assume the duties of the President in the absence of the latter and shall serve as ex-officio member of the standing committees in the absence of the President.

Section 3: The Corresponding Secretary shall have responsibility for coordinating the preparation and mailing of all notices sent out to the membership, of communications sent to surviving spouses upon the decease of members, and of any official communication with members at the time they are given honorary status. This Secretary shall be an ex-officio member of the Membership Committee. 2 .

Section 4: The Recording Secretary shall prepare the minutes of all meetings of the organization and its Executive Committee, receive and record financial contributions made to the organization by members, update and make available copies of these Bylaws, and be custodian of all records of the organization.

Section 5: The Treasurer shall be responsible for the collection of contributions and other payments to the organization and shall be the custodian and disburser of organization funds. This officer shall present to the members at each annual business meeting a complete statement of the financial standing of the organization..

Article VII - Executive Committee

Section 1. The Executive Committee shall consist of the officers, the past Chair, eight elected members at large, and the chairpersons of the standing committees.

Section 2. Four of the eight elected members at large shall be elected for a two-year term at each annual business meeting.

Section 3. Vacancies occurring within the Executive Committee shall be filled by a majority vote of the Executive Committee and those so selected shall serve until the next annual business meeting.

Section 4. A member of the Executive Committee who fails to attend three consecutive meetings without an explanation shall automatically be considered to have resigned from the Committee.

Article VIII - Committees

Section 1: Standing Committees shall be appointed by the Chair with the advice of the Executive Committee.

Section 2: The standing committees shall include but not be limited to: (1) Membership; (2) Welfare; (3) Program; (4) Auditing.

Section 3: Ad-hoc committees shall be constituted as need arises except that a nominating committee shall be named well in advance of the annual business meeting in order to invite nominations from the membership. Special committees shall be appointed by the Chair. 3.

Article IX - Nomination Procedures

The Executive Committee shall appoint a Nominating Committee to prepare a list of proposed officers and other Executive Committee members. Suggestions for these positions shall have been solicited from the membership at large. Names may be added to the list of nominees from the floor at the regular annual business meeting. At least two weeks written notice shall be given of the time and place of this meeting.

Article X - Meetings

Section 1. One meeting each year shall be designated the annual business meeting. It shall be called to receive reports of officers and committees and to conduct elections and other business pursuant to these Bylaws.

Section 2. The organization shall meet at other times and places designated by the Executive Committee, or upon petition of at least ten of the membership.

Section 3. Notwithstanding any other provision of these articles, the organization shall not carry on any activities not permitted to be carried on (a) by a corporation exempt from Federal income tax under section 5-1(c)(3) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal revenue Law) or (b) by a corporation contributions to which are deductible under section 170 (c) (2) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United State Internal Revenue Law).

Article XI - Quorum

A quorum shall consist of the members present at the regularly called meetings.

Article XII - Parliamentary Authority

Robert's Rules of Order, Revised shall be the parliamentary authority for this organization, excepting that the Chair may overrule a "call for the question" if it appears to her or him that there has been insufficient opportunity for members' participation on a particular question. 4.

Article XIII - Dissolution of the Organization

Upon the winding up and dissolution of this organization, after paying or adequately providing for the debts and obligations of the organization, the remaining assets shall be distributed to a nonprofit fund, foundation, or corporation which is organized and operated exclusively for charitable, educational, religious and/or scientific purposes and which has established its tax exempt status under section 501 (c)(3) of the Internal Revenue Code.

Article XIV - Amendments

Section 1: Any proposed amendments to these Bylaws may be presented to the members either by majority vote of the Executive Committee or by a petition presented to the Recording Secretary for presentation to the members, such petition to be signed by no fewer than five members.

Section 2: Copies of such proposed amendments shall be sent to each member not less than two weeks before the annual business meeting.

Section 3: A proposed amendment shall be considered adopted if it receives a majority vote of the members present at the annual business meeting, provided that at least 20 members are in attendance. If fewer than 20 members attend, the amendment shall be voted on at the next scheduled meeting, social or business, at which there are at least 20 members present.
